Gewone zaakvoerders kunnen ten allen tijde worden ontslagen met gewone meerderheid van stemmen. Iedere zaakvoerder is bevoegd om alle handelingen van intern bestuur te verrichten die nodig of dienstig zijn tot verwezenlijking van het doel van de vennootschap, met uitzondering van die handelingen waarvoor alleen de vergadering van de vennoten bevoegd is. De vennootschap wordt in en buiten rechte vertegenwoordigd door één zaakvoerder die alleen optreedt. De zaakvoerders kunnen gevolmachtigden van de vennootschap aanstellen. Alleen bijzondere en beperkte volmachten voor bepaalde of voor een reeks bepaalde rechtshandelingen zijn geoorloofd.
