4. De raad van bestuur mag bijzondere volmachten verlenen aan één of meer personen. De vennootschap wordt geldig vertegenwoordigd door deze bijzondere volmachtdragers binnen de grenzen van hun volmacht. Vergoeding van de bestuurders Het mandaat van de bestuurders wordt niet bezoldigd behoudens andersluidende beslissing van de algemene vergadering.

- Alle handelsverrichtingen namelijk verkoop, inkoop, invoer en uitvoer in verband met alle soorten fruit, groenten, aardappelen, gedroogd fruit in de breedste zin van het woord.
- Het vervoer en de organisatie van het vervoer, de logistiek op Europees en internationaal niveau, de organisatie van de goederenstromen en dit zowel voor eigen producten als deze van derden. Het verzekeringsgebeuren en de administratieve coördinatie, alsook alle douaneformaliteiten die hiermee gepaard gaan. De financiële opvolging en facturatie.
- De huur- en verhuur (zonder chauffeur), de aan- en verkoop, alsook de leasing van motorvoertuigen, waaronder auto’s, bestelwagens en vrachtwagens, en andere roerende goederen waaronder heftrucks, en de uitoefening van alle nevenactiviteiten, die in de ruimste zin daarmee verband houden.
- De participatie, onder welke vorm het ook zij, in de oprichting, de ontwikkeling, omvorming en controle van alle ondernemingen, Belgische en of buitenlandse, handels, commerciële, financiële, industriële of andere; de verwerving van eender welke titels of rechten door middel van participatie, inbreng, onderschrijving, aankoopoptie, verhandeling of op iedere andere wijze.
- Het verlenen van adviezen van financiële, technische, commerciële of administratieve aard, in de ruimste zin, bijstand en diensten verlenen, rechtstreeks of onrechtstreeks, op het vlak van administratie en financiën, verkoop, productie en algemeen bestuur.
- Consulting op het gebied van beheer, management en marketing.
- Onderneming in onroerende goederen, welke onder meer omvat: de verwerving, de vervreemding, het beheer, de borgstelling, de uitbating, de valorisatie, de verkaveling, de huur en verhuur, het doen bouwen en verbouwen de procuratie en het makelen in onroerende goederen, evenals alle welkdanige onroerende verhandelingen in de meest brede zin, met inbegrip van onroerende leasing.
- Het patrimonium van de vennootschap te beheren en oordeelkundig uit te breiden. Binnen het kader van haar voorwerp zal de vennootschap mogen overgaan tot het aankopen, opschikken, uitrusten, valoriseren, bouwen, verhuren of in huur nemen van onroerende goederen al dan niet gemeubeld.
- De vennootschap mag zich borg stellen en onroerende goederen in pand geven of hypothekeren voor verbintenissen door derde personen aangegaan. Zij mag eveneens al haar andere goederen met inbegrip van het handelsfonds in pand geven en aval verlenen in het voordeel van derden.
- Het toestaan van leningen en kredietopeningen aan vennootschappen en particulieren onder om het even welke vorm; in dit kader kan zij zich ook borg stellen of aval verlenen, in de meest ruime zin, alle handels- en financiële operaties verrichten behalve die welke wettelijk voorbehouden zijn aan depositobanken, houders van deposito’s op korte termijn, spaarkassen, hypotheekmaatschappijen en kapitalisatie-ondernemingen.
- Het bedrijfsbeheer van vennootschappen en instellingen, zowel in België als in het buitenland.
- Zij mag functies uitoefenen van bestuurder, commissaris of vereffenaar in alle andere vennootschappen.
- De vennootschap mag ook voor eigen rekening het beheer doen van beleggingen en vermogens.
- De vennootschap zal in het algemeen alle burgerlijke, commerciële, industriële, financiële, roerende of onroerende handelingen mogen verrichten in rechtstreeks of onrechtstreeks verband met haar voorwerp of welke van die aard zouden zijn dat zij het bereiken ervan rechtstreeks of onrechtstreeks, geheel of ten dele vergemakkelijken.
- Zij kan belangen nemen door inbreng, fusie, inschrijving of op gelijk welke andere wijze, in alle zaken ondernemingen, verenigingen of vennootschappen met een identiek voorwerp, gelijklopend of samenhangend met het hare en die van aard kunnen zijn de ontwikkeling van haar onderneming te begunstigen, zich grondstoffen te verschaffen of de afzet van haar producten te vergemakkelijken.
