On 9 April 2010, REDPHARMA was incorporated by two natural persons, with a starting capital of EUR 18,600.12 The registered office moved to Bruxelles in 2013, to Auderghem in 2020 and to Zaventem in 2022.345 A capital increase in 2013 brought the capital to EUR 93,600.3 MTOUCH was merged into the company in 2024.6 Of the 3 current board members, Clotilde Ghysselinckx has served longest, since 2022.7

Het zoeken, het ontwerp, de inkoop, de productie, de marketing, het verzamelen, de behandeling en het gebruik van alle soorten gegevens, statistische gegevens inbegrepen, om marktstudies, statistische studies en de marktonderzoeken uit te voeren of te laten uitvoeren, op het gebied van gezondheid daarbij inbegrepen. Alle dienstverleningen, en in het bijzonder, de studies, het advies en de hulp in het kader van de verwerking van informaties en gegevens verkregen door onderzoeken en marktanalyse, op het gebied van gezondheid daarbij inbegrepen. Alle activiteiten uit te oefenen van marketing, marktstudie, raadgeving, verkoopanalyse verzameling van gegevens, verspreiding van informatie en distributie van diensten en producten, in verband met het verkoopsbeheer (sales management), voor ondernemingen die actief zijn in de farmaceutische en de gezondheidssector daarbij inbegrepen. Het beheer van informatica systemen bestemd voor medisch afgevaardigden en van al dan niet farmaceutische fiches, in de farmaceutische sector daarbij inbegrepen. Het onderzoek naar, de ontwikkeling van, de commercialisering en distributie van promotionele acties, informatieproducten en reclame in het algemeen, met inbegrip van coupons, wedstrijden, loterijen en getrouwheidsacties via alle beschikbare kanalen en technologie, met inbegrip van GSM, GPRS, Internet, mobiele telefoons, Bluetooth en websites. Het onderzoek naar, de ontwikkeling van, de commercialisering en distributie van promotiemateriaal in en rond de verkooppunten. De term "materiaal" omvat niet alleen het promotionele materiaal zelf, maar ook alle multimediamiddelen en producten die beschikbaar zijn om de zichtbaarheid te vergroten of om promotie mogelijk te maken, met inbegrip van displays, steunen, GSM, alsook "Digital Signage" of "Narrow Casting" schermen. Deze kunnen zowel plaatselijk worden geïntegreerd of als onderdeel van een groter netwerk. De commercialisering (groot- of kleinhandel), import, export, distributie, dienst-na-verkoop van alle soorten apparatuur, meubilair en diensten - voor de bovengenoemde gebieden of andere - bestemd voor om het even welke industrie en/of openbare of particuliere administratie. De ontwikkeling, aankoop, verkoop, beheer, ontwikkeling, huur of toewijzing van alle handelsfondsen, octrooien, licenties, handelsmerken, know-how en andere intellectuele eigendomsrechten. De handelsvertegenwoordiging, zowel in België als in het buitenland, van alle goederen, van welke aard ook. De vennootschap kan ook aan derden alle middelen ter beschikking stellen (met inbegrip van het ter beschikking stellen van personeel) die nodig zijn voor de verwezenlijking van haar voorwerp, en alle apparatuur, meubilair of installaties verhuren of verkopen die nodig zijn voor de productie en de distributie van haar producten en media of voor de uitoefening van hun activiteit. De onderneming kan rechtstreeks of onrechtstreeks diensten als tussenpersoon of als gevolmachtigde verrichten, alsook alle financiële, commerciële, technische, administratieve of sociale diensten voor rekening van derden in verband met haar voorwerp. Het verstrekken van organisatie- en managementadviesdiensten aan ondernemingen die in dit domein of in enig ander domein in de ruimste zin werkzaam zijn, de vertegenwoordiging, promotie en tussenkomst als commercieel tussenpersoon. Bij alle bovengenoemde activiteiten, de selectie en aanwerving van personeel (technisch, administratief of ander), zowel voor eigen rekening als voor rekening van andere bedrijven. Alle consultancy- en/of dienstverlenende functies, opleiding, technische expertise en bijstand, gerelateerd aan de voornoemde domeinen, alsmede het organiseren van alle conferenties, vergaderingen of seminaries die rechtstreeks of onrechtstreeks verband houden met het voorwerp. De vennootschap mag ook alle enquêtes, studies en analyses in deze gebieden uitvoeren en publiceren. De vennootschap kan ook alle activiteiten in verband met cursussen, opleidingen, de organisatie van evenementen, conferenties, vergaderingen, seminars, soirées, incentives, recepties, alsmede alle activiteiten in verband met animaties en bijscholing voor particulieren of vennootschappen verrichten die rechtstreeks of onrechtstreeks verband houden met haar voorwerp. De vennootschap heeft evenzeer tot voorwerp, op burgerlijk vlak en voor eigen rekening: alle vastgoedtransacties van welke aard ook, in de ruimste zin van het woord, met name de aankoop, verkoop, ruil, overdracht, onderverdeling, bouw, renovatie, ontwikkeling, transformatie, horizontale en verticale splitsing, de plaatsing onder het stelsel van mede-eigendom, het onderhoud, de exploitatie en de verbetering, alsmede de verhuur, de onderverhuring, de leasing, de overdracht van pacht en het beheer van gebouwen of terreinen en meubilair, de ontwikkeling en het beheer van alle onroerende goederen en in het algemeen de uitvoering van alle onroerende verrichtingen, de studie en de uitvoering van alle verrichtingen in verband met alle onroerende rechten door hun aard, door oprichting of door bestemming. Zij kan haar installaties en verrichtingen verhuren of aan derden in beheer geven, geheel of gedeeltelijk. Onder voorbehoud van de wettelijke en reglementaire bepalingen betreffende de openbaar spaarwezen, kan de vennootschap leningen ontvangen, leningen toestaan en verbintenissen garanderen van derden, met name, maar niet uitsluitend, van haar dochterondernemingen. Zij kan, in welke vorm ook, alle ondernemingen of verrichtingen van derden financieren door middel van leningen en kredieten, waarborgen, borgtochten of garanties van welke aard ook, met inbegrip van hypothecaire zekerheden, en in het algemeen alle financiële verrichtingen in de ruimste zin van het woord, behalve wanneer zij door de wet zijn voorbehouden aan banken, beursvennootschappen of kredietinstellingen. Zij kan zich borg stellen en persoonlijke en reële garanties geven ten gunste van derden, natuurlijke of rechtspersonen, in het bijzonder maar niet uitsluitend haar dochterondernemingen. Het aanvaarden en uitoefenen van mandaten als bedrijfsleider, bestuurder, vereffenaar en lid van het beheerscomité in alle vennootschappen, ondernemingen of verenigingen. De vennootschap kan haar voorwerp verwezenlijken op elke plaats, op elke wijze en volgens de methoden die zij het meest geschikt acht. In voorkomend geval houdt zij zich aan de wet die de toegang tot het beroep voor een bepaalde activiteit regelt. De vennootschap kan deze verrichtingen in eigen naam en voor eigen rekening uitvoeren, maar ook in naam van en/of voor rekening van haar leden, en zelfs voor rekening van derden, met name als commissionair. Zij kan door middel van inbreng, fusie, splitsing, aandelenbezit, inschrijving en op elke andere wijze een belang nemen in alle vennootschappen, ondernemingen of verenigingen die een soortgelijk of verwant voorwerp hebben als het hare, of van aard zijn de verwezenlijking van haar voorwerp te bevorderen, haar grondstoffen te verschaffen of de verkoop van haar producten en diensten te vergemakkelijken. Zij mag alle commerciële, industriële en financiële, onroerende en roerende verrichtingen doen die rechtstreeks of onrechtstreeks verband houden met haar voorwerp of die haar ontwikkeling kunnen bevorderen. De vennootschap kan, als bestuurder, vereffenaar of anderszins, het beheer en de controle overnemen van verbonden vennootschappen of dochterondernemingen, en hun advies geven. De vennootschap mag, bij wijze van inbreng in geld of in natura, fusie, inschrijving, participatie, financiële of andere tussenkomst, deelnemingen nemen in andere bestaande of op te richten vennootschappen of ondernemingen, in België of in het buitenland, waarvan het voorwerp gelijkaardig of analoog is aan het hare of van aard is het voorwerp van de vennootschap te bevorderen.
