4. Bevestiging van de algemene vertegenwoordigingsregeling De raad van bestuur bevestigt dat de benoeming van de heer Wouter Vlamynck als persoon belast met het dagelijks bestuur en de hierboven verleende bijzondere volmachten geen algemene individuele vertegenwoordigingsbevoegdheid overeenkomstig artikel 20 van de statuten toekennen. Voor handelingen die buiten het dagelijks bestuur vallen, blijft de vennootschap overeenkomstig artikel 20 van de statuten uitsluitend vertegenwoordigd door twee bestuurders die gezamenlijk optreden. Twee bestuurders kunnen de vennootschap eveneens gezamenlijk vertegenwoordigen wanneer de betrokken handeling tot het dagelijks bestuur behoort.

3. Omvang en gezamenlijke uitoefening van de bevoegdheden Het dagelijks bestuur omvat alle handelingen en beslissingen die niet verder reiken dan de behoeften van het dagelijks leven van de vennootschap, alsmede de handelingen en beslissingen die, wegens hun minder belang of spoedeisend karakter, de tussenkomst van de raad van bestuur niet rechtvaardigen. De heer Wouter Vlamynck, mevrouw Alexandra Van Eycke en mevrouw Kristel Astrid Machtelinckx oefenen de voormelde bevoegdheden uitsluitend twee aan twee gezamenlijk uit. Elke combinatie van twee van deze drie personen kan de vennootschap binnen de hiervoor omschreven bevoegdheden vertegenwoordigen en verbinden. Geen van hen kan binnen deze regeling individueel optreden. De gezamenlijke wijze van optreden geldt voor alle voormelde dagelijkse verrichtingen, met inbegrip van de gebruikelijke verrichtingen van financiële aard.
