De gedelegeerd bestuurder kan niet zonder toestemming van het bestuursorgaan beslissingen nemen en rechtshandelingen stellen die verband houden met de vertegenwoordiging van de vzw in het kader van het dagelijks bestuur bij transacties die 500.000 € te boven gaan. Deze bevoegdheidsbeperkingen kunnen niet worden tegengeworpen aan derden, zelfs niet indien ze openbaar worden gemaakt. Niet-naleving ervan brengt wel de interne aansprakelijkheid van betrokkene vertegenwoordigers in het gedrang. Art. 14. Het bestuursorgaan vertegenwoordigt en verbindt de vereniging in alle gerechtelijke en buitengerechtelijke handelingen. Het bestuursorgaan handelt en beslist als college. Hij is bevoegd voor alle aangelegenheden, met uitzondering van deze die door de wet uitdrukkelijk aan de algemene vergadering zijn voorbehouden. Hij mag alle nodige verbintenissen aangaan teneinde het belangeloos doel van de vereniging te realiseren. Hij kan zelfs alle daden stellen met inbegrip van, onder meer, zonder dat deze opsomming beperkend is, het stellen en afsluiten van akten en contracten, het treffen van minnelijke schikkingen, het verwerven, ruilen, verkopen of met een hypotheek bezwaren van alle roerende en onroerende goederen, het afsluiten van leningen, het aanvaarden van legaten, subsidies, schenkingen en overdrachten, het verzaken aan alle rechten, het verlenen van alle machten aan door hem aangewezen mandatarissen die al dan niet lid zijn, het vertegenwoordigen in rechte van de vereniging, zowel als eiser als, als verweerder. Voor andere welomschreven daden van bestuur kan het bestuursorgaan een of meerdere bestuurders of een gedelegeerd bestuurder aanduiden die de vereniging geldig kunnen vertegenwoordigen.
