College van bestuurders in functie: Zijn er drie of meer bestuurders aangesteld, dan vormen zij een collegiaal bestuursorgaan. Iedere bestuurder vertegenwoordigt de vennootschap jegens derden en in rechte als eiser of als verweerder. Het collegiaal bestuursorgaan kan bijzondere machten toekennen aan elke mandataris. De statuten kunnen de bevoegdheden van dit collegiaal bestuursorgaan beperken. Zodanige beperking kan niet aan derden worden tegengeworpen, ook al is ze openbaar gemaakt. Hetzelfde geldt voor een onderlinge taakverdeling onder de bestuurders.
