Hij vertegenwoordigt alleen de vennootschap jegens derden en in rechte als eiser en verweerder. Behoudens andersluidende beslissing, zal de enige bestuurder tevens de vaste vertegenwoordiger zijn van de vennootschap indien deze een bestuurdersmandaat opneemt in een andere vennootschap overeenkomstig artikel 2:55 van het Wetboek van vennootschappen en verenigingen. b) Indien er drie of meer bestuurders benoemd zijn dan vormen zij een collegiaal bestuursorgaan. Het collegiaal bestuursorgaan vertegenwoordigt de vennootschap jegens derden en in rechte als eiser of als verweerder.
