Externe vertegenwoordigingsmacht Elke bestuurder vertegenwoordigt, alleen handelend, de vennootschap geldig in en buiten rechte. Wanneer de vennootschap een mandaat opneemt van lid van een bestuursorgaan of dagelijks bestuurder, dan dient zij een natuurlijke persoon te benoemen als vaste vertegenwoordiger die wordt belast met de uitvoering van dat mandaat in haar naam en voor haar rekening. In alle akten die de vennootschap verbinden, moet onmiddellijk voor of na de handtekening van de persoon die de vennootschap vertegenwoordigt, worden vermeld in welke hoedanigheid hij optreedt."
