Vijfde besluit: wijziging vertegenwoordigingsregeling De algemene vergadering beslist met eenparigheid van de stemmen om de huidige regeling inzake de vertegenwoordiging van de vennootschap aan te passen. De algemene vergadering beslist tot vervanging van de integrale tekst van artikel 13 van de statuten, door de volgende bepaling: “Indien de vennootschap slechts één bestuurder heeft, is de enige bestuurder bevoegd om alle handelingen te verrichten die nodig of dienstig zijn tot verwezenlijking van het voorwerp van de vennootschap, tenzij die waarvoor volgens de wet of de statuten de algemene vergadering bevoegd is. Indien de vennootschap door meer dan één bestuurder wordt bestuurd, mag iedere bestuurder, alleen optredend, alle handelingen stellen die nodig of nuttig zijn voor de verwezenlijking van het voorwerp van de vennootschap, behalve deze die de wet of de statuten aan de algemene vergadering voorbehouden. Iedere bestuurder vertegenwoordigt de vennootschap jegens derden en in rechte als eiser of als verweerder, en kan bijzondere machten toekennen aan elke mandataris. De vennootschap is verbonden door de rechtshandelingen die door de bestuurders werden verricht, zelfs indien die handelingen buiten haar voorwerp vallen, tenzij zij bewijst dat de derde daarvan op de hoogte was of er, gezien de omstandigheden, niet onkundig van kon zijn. Evenwel met betrekking tot alle handelingen die de vennootschap verbinden, voor een bedrag vanaf vijfentwintigduizend euro (€ 25.000,00), is de handtekening van minstens twee bestuurders vereist, waarvan minstens één van deze bestuurders houder is van minimaal vijftig procent van de stemrechten binnen de vennootschap. Deze bevoegdheidsbeperking is – overeenkomstig art. 5:73, §1, eerste lid Wetboek van verenigingen en vennootschappen– niet tegenwerpelijk aan derden, zelfs niet nadat zij openbaar gemaakt is.”
