De bestuurder, afzonderlijk optredend, is bevoegd om de vennootschap te vertegen-woordigen in en buiten rechte. Voornoemde bestuurder verklaart hierbij het mandaat van bestuurder te aanvaar-den en verklaart niet getroffen te zijn door enige verbodsbepaling voor het uitoefenen van zijn mandaat. Bovendien, en in overeenstemming met de wet betreffende het centraal register van bestuursverboden, verklaart de Vennootschap dat er geen verbod uitgesproken werd waardoor de nieuw benoemde bestuurder(s) niet zou mogen optreden als bestuurder(s). Deze verklaring zal worden neergelegd bij de griffie van de Ondernemingsrechtbank.
