Chaque administrateur représente la société à l'égard des tiers et en justice, soit en demandant, soit en défendant. Il peut déléguer des pouvoirs spéciaux à tout mandataire. L’assemblée générale décide si le mandat d’administrateur est ou non exercé gratuitement. Si le mandat d’administrateur est rémunéré, l’assemblée générale, statuant à la majorité absolue des voix, ou l’actionnaire unique, détermine le montant de cette rémunération fixe ou proportionnelle.
