Article 13 : Pouvoirs de l’organe d’administration S’il n’y a qu’un seul administrateur, la totalité des pouvoirs d’administration lui est attribuée, avec la faculté de déléguer partie de ceux-ci. Lorsque la société est administrée par plusieurs administrateurs, chaque administrateur agissant seul, peut accomplir tous les actes nécessaires ou utiles à l’accomplissement de l’objet, sous réserve de ceux que la loi et les statuts réservent à l’assemblée générale. Chaque administrateur représente seul la société à l'égard des tiers et en justice, soit en demandant, soit en défendant, à l’exception des actes pour lesquels interviennent un officier public où la société doit être représentée, en cas de pluralité d’administrateurs, par deux administrateurs agissant conjointement. L’administrateur peut déléguer des pouvoirs spéciaux à tout mandataire. Toutes les fois où une distribution peut avoir lieu selon les dispositions du Code des sociétés et des associations ou des présents statuts, l’organe d’administration pourra distribuer le bénéfice de l’ exercice en cours et celui de l’exercice précédent, et ce, pour ce dernier, aussi longtemps que les comptes annuels de l’exercice précédent n’auront pas été approuvés.
