De vennootschap mag haar doel verwezenlijken, zowel in België als in de vreemde, op gelijk welke wijze en volgens de modaliteiten die haar het best voorkomen. Zij mag belangen nemen door inbreng, samensmelting, afstand, financiële tussenkomst of op gelijk welke andere wijze in alle maatschappijen of ondernemingen, die eenzelfde, gelijkaardig of aanverwant doel nastreven, of die van aard is haar bedrijvigheid uit te breiden of te vergemakkelijken. ALGEMENE VERGADERINGEN De algemene vergaderingen die over deze met fusie door overneming gelijkgestelde verrichting moeten beslissen, zullen worden bijeengeroepen na het verstrijken van de termijn van zes weken na de neerlegging van het fusievoorstel, cfr. art. 12:50, tweede lid van het Wetboek van Vennootschappen en Verenigingen. De algemene vergaderingen zullen doorgaan bij notaris Frederik Vandenbriele met standplaats te Oostende. De algemene vergaderingen behouden zich te allen tijde het recht voor om af te wijken van onderhavig fusievoorstel in elk geval zulks nodig of wenselijk mocht blijken.   1. I. Voor eigen rekening (zowel in binnen- als buitenland): Een patrimonium bestaande uit zowel roerende als onroerende goederen te verwerven, te behouden, in de ruimste zin van het woord te beheren en oordeelkundig uit te breiden.
  2. A) het verwerven door inschrijving of aankoop en het beheren van aandelen, obligaties, kasbons of andere roerende waarden, van welke vorm ook, van Belgische of buitenlandse, bestaande of nog op te richten vennootschappen
  3. B) het beheer van een onroerend of roerend vermogen en de huurfinanciering van onroerende goederen aan derden, alsmede alle handelingen die rechtstreeks of onrechtstreeks met dit voorwerp in verband staan en die van aard zijn de opbrengst van de onroerende goederen te bevorderen, zoals het onderhoud, de ontwikkeling, de verfraaiing en de verhuring van deze goederen, alsmede zich borg te stellen voor het goede verloop van de verbintenissen door derde personen aangegaan die het genot zouden hebben van deze onroerende goederen.
  4. Aldus mag de vennootschap verwerven, door inschrijving of aankoop en beheren; aandelen, obligaties, kasbons of andere roerende waarden, van welke vorm ook, van Belgische of buitenlandse, bestaande of nog op te richten vennootschappen. Tevens mag de vennootschap aankopen, verkopen, oprichten, in huur geven en nemen, leasen, onderhouden, verbeteren, veranderen en verfraaien; alle onroerende goederen, zowel gebouwde als ongebouwde, in België als in het buitenland.
  5. II. Voor eigen rekening, voor rekening van derden of in deelneming met derden, zowel in binnen- als buitenland, bijdragen tot de vestiging en de ontwikkeling van ondernemingen en inzonderheid:

A) het verlenen van adviezen inzake management; van financiële, technische, commerciële of adminstratieve aard; in de ruimste zin, met uitzondering van beleggingsadviezen, bijstand en diensten verlenen, rechtstreeks of onrechtstreeks op het vlak van administratie en financiën, aankoop, verkoop, productie, logistiek en algemeen bestuur;
  7. B) het bevorderen van de oprichting van vennootschappen, door inbreng, participatie of investering;
  8. C) het toestaan van leningen en kredietopeningen aan vennootschappen en aan particulieren, onder om het even welke vorm; in dit kader kan zij zich ook borg stellen of aval verlenen, in de meest ruime zin, alle handels- en financiele operaties verrichten behalve die welke wettelijk voorbehouden zijn aan depositobanken, houders van deposito’s op korte termijn, spaarkassen, hypotheekmaatschappijen en kapitalisatieondernemingen;
  9. D) het waarnemen van alle bestuursopdrachten, het uitoefenen van opdrachten en functies,
  10. E) tussenpersoon in de handel,
  11. F) het ontwikkelen, kopen en verkopen, in licentie nemen van octrooien, know-how en aanverwante immateriële duurzame activa,
  12. G) het verlenen van administratieprestaties en computerservices voor rekening van derden, het bijhouden en opvolgen van boekhoudingen alsmede het verlenen van adviezen hieromtrent
  13. H) de aan- en verkoop, in- en uitvoer, commissiehandel en vertegenwoordiging van om het even welke goederen, in het kort tussenpersoon in de handel;
  14. I) het onderzoek, de ontwikkeling, de vervaardiging of commercialisering van nieuwe producten, nieuwe technologieën en hun toepassingen;
  15. J) alle verrichtingen van commerciële, industriële, onroerende, roerende of financiële aard die rechtstreeks of onrechtstreeks met haar voorwerp verwant of verknocht zijn of de verwezenlijking ervan kunnen bevorderen.
  16. Zij mag betrokken zijn bij wijze van inbreng, samensmelting, inschrijving of op elke andere wijze, in de ondernemingen, verenigingen of vennootschappen, die een gelijkaardig, soortgelijk of samenhangend voorwerp hebben of die nuttig kunnen zijn voor de verwezenlijking van het geheel of een gedeelte van haar voorwerp. De vennootschap mag haar voorwerp verwezenlijken zowel in België als in het buitenland, op alle wijzen en manieren, die zij het best geschikt zou achten. Deze opsomming is niet beperkend.
  17. Mits goedkeuring van de algemene vergadering der aandeelhouders mag de vennootschap met andere vennootschappen samensmelten of ze overnemen om ze achteraf te splitsen, te ontbinden of zelf uit te baten.
  18.
