Beslissing tot ontbinding van de vennootschap De algemene vergadering beslist om de activiteiten van de vennootschap stop te zetten. De algemene vergadering beslist dus om de vennootschap met ingang vanaf heden te ontbinden en in vereffening te stellen. Afsluiting van het boekjaar Overeenkomstig artikel 2:70, tweede lid van het Wetboek van vennootschappen en verenigingen, heeft de ontbinding de afsluiting van het boekjaar tot gevolg. De algemene vergadering geeft de opdracht aan het bestuursorgaan om de jaarrekening voor het boekjaar dat loopt tot de datum van de ontbinding op te maken en het ontwerp te overhandigen aan de vereffenaar. De vereffenaar zal vervolgens de algemene vergadering van de vennoten samenroepen en deze jaarrekening ter goedkeuring voorleggen.
