Artikel 7: Bestuur Het bestuur van de vennootschap wordt toevertrouwd aan één of verscheidene zaakvoerders, welke of derden, of gecommanditeerde vennoten kunnen zijn. Zij worden door de algemene vergadering benoemd voor een bepaalde duur of zonder beperking van duur. De zaakvoerder bezit de meest uitgebreide machten van bestuur en beschikking. Alle handelingen die niet uitdrukkelijk voorbehouden zijn aan de algemene vergadering door de wet, vallen onder de bevoegdheid van de zaakvoerder. De zaakvoerder vertegenwoordigt de vennootschap jegens derden en in rechte zowel als eiser als verweerder. Wanneer er verscheidene zaakvoerders zijn, kunnen zij hun machten ieder afzonderlijk uitoefenen, onverminderd de eventuele delegatie van machten en zullen zij jegens derden en in rechte eveneens afzonderlijk handelen, onverminderd de eventuele delegatie van machten, welke delegatie slechts kan gebeuren op voorwaarde dat het mandaat speciaal en van tijdelijke aard is.
