TITEL VI- VERTEGENWOORDIGING VAN DE VZw Artikel 28 - algemene vertegenwoordigingsclausule en bijzondere delegatie § 1. De vzw wordt vertegenwoordigd in rechte of ten overstaan van derden door de handtekening van drie bestuurders. § 2. De bevoegdheid om de vereniging te vertegenwoordigen voor welbepaalde handelingen of aktes kan door het bestuursorgaan bij eenvoudig besluit worden opgedragen aan één persoon, al dan niet bestuurder. De bevoegdheid voor deze persoon en de duur van het mandaat wordt duidelijk bepaald. Het mandaat kan te allen tijde met onmiddellijke ingang door het bestuursorgaan worden ingetrokken.

§ 2. De gewone algemene vergadering moet minstens éénmaal per jaar worden samengeroepen door het bestuursorgaan, uiterlijk voor 30 juni, op dag uur en plaats door het bestuursorgaan te bepalen. De gewone algemene vergadering beslist over de jaarrekening en de kwijting van bestuurders. § 3. Alle leden, bestuurders en commissarissen worden ten minste vijftien dagen vóór de algemene vergadering opgeroepen. Het bestuursorgaan maakt de agenda en voegt deze bij de oproeping. Elk door ten minste één vijfde van de leden voorgesteld agendapunt wordt op de agenda gebracht.

- Zij kan alle handels-, nijverheids- en financiële, roerende -en onroerende verrichtingen uitvoeren, giften ontvangen en activiteiten voeren die rechtstreeks en onrechtstreeks in verband staan met haar doel of van deze aard zijn dit te begunstigen.
- Zo kan zij onder meer een belang nemen in iedere onderneming waarvan het doel gelijkaardig, overeenkomstig of verwant is met het hare.
- Zij kan ten guste van dezelfde vennootschappen borgstelling of haar aval verlenen, optreden als haar vertegenwoordiger, voorschotten toestaan, kredieten verlenen, hypothecaire of ander zekerheden verstrekken.
- De vzw kan alle handelingen stellen die rechtstreeks of onrechtstreeks verband houden met haar belangeloos doel en voorwerp.
- De vzw kan hierbij economische activiteiten van industriële of commerciële aard uitoefenen, zelfs in hoofdorde, waarvan de opbrengsten te allen tijde volledig zullen worden bestemd voor haar belangeloos doel.
