De gewone algemene vergadering van aandeelhouders wordt gehouden op de laatste werkdag van de maand juni om twintig uur. Het bestuursorgaan van de vennootschap is samengesteld als volgt: -JAPECO BV, met als vaste vertegenwoordiger, de heer Jan Peeters, gedelegeerd bestuur -MATENAU BV, met als vaste vertegenwoordiger, de heer Wim Peeters, gedelegeerd bestuurder -HET GROTE GEBOUW NV, met als vaste vertegenwoordiger, de heer Glenn Geys, bestuurder 3.2. HET GROTE GEBOUW: Overnemende Vennootschap De vennootschap werd opgericht onder de naam "PEETERS-GOVERS" bij akte verleden voor notaris Christian Schuermans te Turnhout, met tussenkomst van notaris Richard Celis te Antwerpen, op 30 april 1980, bekendgemaakt in de Bijlagen tot het Belgisch Staatsblad van 24 mei daarna onder nummer 1054-5.

  1. De aankoop,verkoop,ruiling,het beheer en de valorisatie van alle verhandelbare waardepapieren,aandelen,maatschappelijke aandelen,obligaties,staatsfondsen en van alle roerende goederen en rechten;
  2. Het verwerven en aanhouden van participaties,in eender welke vorm,in alle bestaande of op te richten industriële,commerciële,financiële,landbouw- of immobiliënvennootschappen of-ondernemingen;
  3. Het stimuleren,de planning en coördinatie van de ontwikkeling van de vennootschappen en ondernemingen,waarin ze een participatie aanhoudt;het deelnemen aan hun beheer,bestuur en toezicht,alsmede het verlenen van technische,administratieve en financiële bijstand aan deze vennootschappen en ondernemingen;
  4. In het raam van haar thesauriebeheer,het rechtstreeks uitvoeren of door toedoen van vestigingen in België of in het buitenland van trading- en deviezenoperaties en de tussenkomst in de emissie en plaatsing van aandelen,maatschappelijke aandelen,obligaties en allerhande effecten;
  5. Alle verbintenissen van borgtocht,aval of eender welke garanties;
  6. Het aanleggen,het oordeelkundig uitbouwen,het beheren en verhandelen van een onroerend vermogen;alle verrichtingen,studies en operaties met betrekking tot onroerende goederen en onroerende zakelijke rechten,zoals de aan- en verkoop,het(laten)bouwen en verbouwen,de huur en verhuur,de ruil,de verkaveling en,in het algemeen,alle verrichtingen die rechtstreeks of onrechtstreeks betrekking hebben op het beheer of op het productief maken,van onroerende goederen of onroerende zakelijke rechten.
  7. Alle verrichtingen van mandaat,agentuur of van commissie in verband met de hoger omschreven operaties.
  8. De vennootschap mag alle roerende goederen,materialen en benodigdheden,verwerven,huren of verhuren,vervaardigen,overdragen of ruilen,en in het algemeen,alle commerciële,industriële of financiële handelingen verrichten,welke rechtstreeks of onrechtstreeks in verband staan met haar voorwerp,met inbegrip van de onderaanneming in het algemeen,en de uitbating van alle intellectuele rechten en industriële of commerciële eigendommen die er betrekking op hebben.
  9. Zij mag alle roerende goederen als investering verwerven,zelfs als deze noch rechtstreeks,noch onrechtstreeks verband houden met het voorwerp van de vennootschap.
  10. De vennootschap mag het bestuur en de vereffening waarnemen en toezicht en controle uitoefenen over alle verbonden vennootschappen,met dewelke een of andere band van deelneming bestaat en mag alle leningen,van gelijk welke vorm en voor gelijk welke duur,aan deze laatsten toestaan of borgstellingen verstrekken voor deze vennootschappen.
  11. Zij mag bij wijze van inbreng in speciën of in natura,van fusie,inschrijving,deelneming,financiële tussenkomst of op een andere wijze,een aandeel nemen in alle bestaande of op te richten vennootschappen of bedrijven,in België of het buitenland,waarvan het voorwerp identiek,gelijkaardig of verwant is met het hare,of van aard is de uitoefening van haar voorwerp te bevorderen.
