De Vennootschap wordt rechtsgeldig vertegenwoordigd ten aanzien van derden, in rechte en in authentieke akten, met inbegrip van akten waarvoor de tussenkomst van een openbaar ambtenaar of notaris vereist is, door: 1. één (1) Oprichter Bestuurder handelend na beslissing van het bestuursorgaan; 2. de gedelegeerd bestuurder aan wie het dagelijks bestuur werd gedelegeerd, die individueel handelt binnen de grenzen van het dagelijks bestuur (dat in geen geval Voorbehouden Bestuursbevoegdheden omvat); en/of 3. bijzondere lasthebbers aangesteld door de Raad van Bestuur, binnen de grenzen van hun mandaat. c) Strijdig belang De bestuurder of het lid van een collegiaal bestuursorgaan die rechtstreeks of onrechtstreeks een belang van vermogensrechtelijke aard heeft dat strijdig is met dat van de vennootschap, is gehouden artikels 5:76 en 5:77 van het wetboek van vennootschappen en verenigingen na te leven.
Full purpose (13 activities)
- Het ontwikkelen, aanleveren, installeren, opvolgen, commercialiseren van software-based oplossingen om het gebouwgedrag te voorspellen en de energiesystemen (zonneweringsystemen en andere systemen die een invloed op de energievraag van het gebouw hebben inbegrepen) in een gebouw aan te sturen, alsook het ontwikkelen, aanleveren, doorverkopen, commercialiseren van de periferische apparatuur hiervoor.
- Het adviseren van derden in het beheer, de renovatie, en de uitbouw van hun gebouw, of nieuwbouw gerelateerde energie infrastructuur in ruime zin; dit houdt onder meer in: - het adviseren rond gebouwontwerp, gebouwgedrag en aansturing van energiesystemen; - het begeleiden in de voorbereiding en de uitvoering van projecten met betrekking tot bovenstaande voorwerp; - het opnemen van managementactiviteiten in het kader van hoger vermelde doelstellingen. - het promoten, ontwikkelen, onderzoeken van duurzame energietechnieken.
- - diensten en consultancy die gebruik maken van dynamische simulaties en/of dynamische optimalisaties.
- Het leveren van alle mogelijke diensten en producten (zowel software als hardware) aan verschillende partijen in de energie waarde-keten (bijvoorbeeld producenten, netwerk operatoren, distributeurs, retailers, groot- en kleinverbruikers en gerelateerde dienstverleners) om energieverbruik en productie te optimaliseren en/of een grotere financiële waarde te creëren en/of optimaliseren van uitstoten van schadelijke bijproducten van de energieketens;
- Het ontwikkelen van methodieken en systemen voor het projectmanagement van energie infrastructuur projecten en voor het beheer en de exploitatie van energie infrastructuur van onroerend patrimonium in de ruimste zin.
- Het verzamelen, analyseren, aanleveren, commercialiseren van data met betrekking tot oplossingen om het gebouwgedrag of andere systemen in de energie waardeketen te voorspellen, energemonitoring of anomalieën te detecteren en de energiesystemen in een gebouw aan te sturen, alsook de periferische apparatuur.

- Organiseren van cursussen, en geven van trainingen en seminaries, coaching; De studie, de adviesverlening, expertise, engineering en elke dienstverlening in het kader van de in dit artikel beschreven activiteiten.

- De organisatie van opleidingen en studiereizen in de ruimste zin in verband met de voormelde activiteiten.
