Wanneer de vennootschap optreedt als bestuurder van andere vennootschappen, wordt de vennootschap enkel rechtsgeldig vertegenwoordigd door de vaste vertegenwoordiger die alleen handelt. Vergoeding van de bestuurders Het mandaat van de bestuurder(s) is onbezoldigd tenzij de algemene vergadering er anders over beslist. Indien het mandaat van de bestuurder bezoldigd is, dan bepaalt de algemene vergadering, beslissend met absolute meerderheid van stemmen, of de enige aandeelhouder, het bedrag van deze vaste of evenredige vergoeding. Deze wordt geboekt op de algemene kosten, los van eventuele representatie-, reis- en verplaatsingskosten.
