Artikel 13 – Bevoegdheden van het bestuursorgaan Als er slechts één bestuurder is, is het geheel van de bevoegdheden van de bestuurders aan hem toegekend, met de mogelijkheid een deel van deze bevoegdheden te delegeren. Indien de vennootschap door meer dan één bestuurder wordt bestuurd, mag iedere bestuurder, alleen optredend, alle handelingen stellen die nodig of nuttig zijn voor de verwezenlijking van het voorwerp van de vennootschap, behalve deze die de wet of de statuten aan de algemene vergadering voorbehouden. Iedere bestuurder vertegenwoordigt de vennootschap jegens derden en in rechte als eiser of als verweerder. Hij kan bijzondere machten toekennen aan elke mandataris. Alleen bijzondere en beperkte volmachten voor bepaalde of voor een reeks van bepaalde rechtshandelingen zijn geoorloofd. De bijzondere lasthebbers verbinden de vennootschap binnen de perken van de hun verleende volmacht. Het bestuursorgaan is tevens bevoegd om een intern reglement op te stellen.

- Deze diensten kunnen geleverd worden door contractuele of statutaire benoeming en in de hoedanigheid van externe raadgever of orgaan van de cliënt. Ter uitvoering van haar opdrachten en voor het waarnemen van bestuursmandaten kan de vennootschap zich laten vertegenwoordigen door haar bestuurder of elke andere derde vertegenwoordiger, die door de vennootschap worden afgevaardigd om op te treden in eigen naam doch voor eigen rekening van de vennootschap
- Daartoe kan de vennootschap samenwerken met, deelnemen in, of op gelijk welke wijze, rechtstreeks of onrechtstreeks, belangen nemen in andere ondernemingen. De vennootschap kan zowel tot waarborg van eigen verbintenissen als tot waarborg van verbintenissen van derden borg stellen, onder meer door haar goederen in hypotheek of in pand te geven
- De vennootschap kan in het algemeen alle commerciële, industriële, financiële, roerende of onroerende handelingen verrichten in rechtstreeks of onrechtstreeks verband met haar maatschappelijk voorwerp of welke van aard zouden zijn de verwezenlijking ervan geheel of ten dele vergemakkelijken
