Het bestuursorgaan mag bijzondere volmachten verlenen aan één of meer personen. De vennootschap wordt geldig vertegenwoordigd door deze bijzondere volmachtdragers binnen de grenzen van hun volmacht. Wanneer de vennootschap optreedt als bestuurder van andere vennootschappen, wordt de vennootschap enkel rechtsgeldig vertegenwoordigd door de vaste vertegenwoordiger die alleen handelt.
